Abstract

Der Beitrag behandelt die Frage, ob und inwieweit für Vorstand und Aufsichtsrat einer Aktiengesellschaft Vergütungsanreize gesetzt werden müssen oder dürfen, um eine Ausrichtung der Organtätigkeit am Maßstab der Corporate Social Responsibility finanziell zu honorieren. Schwerpunkte der Untersuchung gelten dem Merkmal der „Nachhaltigkeit“ in § 87 Abs. 1 Satz 2 AktG, der Befugnis des Vorstands zur Orientierung an CSR-Gesichtspunkten (bei Fehlen wie bei Vorhandensein CSR-bezogener Satzungsklauseln) und dem Pflichtenkreis des Aufsichtsrats.

Translation of abstract (English)

The article addresses the question of whether, and to what extent, the management board and the supervisory board of a stock corporation must or may have incentive pay components as part of their compensation in order to honor their efforts to align their management of the company with standards of corporate social responsibility. The focus of the examination is on the element of “sustainability” contained in Section 87 Para. 1 Sentence 2 of the German Stock Corporation Act, the right of the management board to take into account considerations of CSR (regardless whether the corporate charter documents contain CSR provisions), and the respective scope of duties of the supervisory board.
